Welcome to Jafopavehimu Consulting. These Terms of Service govern your use of our website and services. By accessing or using our services, you agree to be bound by these Terms and our Privacy Policy.

1. Definitions

In these Terms, the following definitions apply:

• "Company", "we", "us", or "our" refers to Jafopavehimu Consulting.
• "Client", "you", or "your" refers to the individual or entity using our services.
• "Services" refers to the legal consulting, business coaching, and related services provided by Jafopavehimu Consulting.
• "Content" refers to all information, text, graphics, materials, and other content available through our services.

2. Services Description

Jafopavehimu Consulting provides legal consulting and business coaching services to clients across Canada. Our services include but are not limited to:

• Legal advice and consultation on corporate and commercial matters
• Business strategy development and implementation guidance
• Contract review, drafting, and negotiation assistance
• Regulatory compliance guidance
• Business coaching and leadership development
• Other related professional services as agreed upon with clients

All services are provided by qualified professionals in accordance with applicable Canadian laws and regulations.

3. Client Responsibilities

As a client of our services, you agree to:

• Provide accurate, current, and complete information about yourself and your business as required
• Maintain the confidentiality of your account credentials and promptly notify us of any unauthorized use
• Cooperate with our consultants and provide necessary information in a timely manner
• Use our services only for lawful purposes and in accordance with these Terms
• Pay all fees and charges incurred in connection with your use of our services
• Not engage in any activity that interferes with or disrupts our services or servers

4. Fees and Payment

Our fees for services are as described in our pricing packages or as otherwise agreed upon in writing. You agree to:

• Pay all applicable fees for services rendered
• Provide accurate billing and payment information
• Pay invoices within the specified payment terms (typically net 15 days)
• Be responsible for any taxes, including GST/HST, applicable to our services

We reserve the right to modify our pricing structure with 30 days' notice to existing clients. Late payments may be subject to interest charges of 1.5% per month (18% annually).

5. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary information received from the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. This obligation survives termination of these Terms.

We maintain strict confidentiality regarding client information in accordance with our professional obligations and Privacy Policy.

6. Intellectual Property

All content, features, and functionality of our services, including but not limited to text, graphics, logos, and software, are owned by Jafopavehimu Consulting or our licensors and are protected by Canadian and international copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable license to access and use our services for your personal or internal business purposes. This license does not include any right to resell or commercially use our services or content.

7. Disclaimer of Warranties

Our services are provided on an "as is" and "as available" basis. Jafopavehimu Consulting makes no representations or warranties of any kind, express or implied, as to the operation of our services or the information, content, or materials included therein.

While we strive to provide accurate and helpful advice, we do not guarantee specific outcomes or results from our services. Legal and business outcomes depend on numerous factors beyond our control.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Jafopavehimu Consulting shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use our services
• Any conduct or content of any third party on our services
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from our services
• Any bugs, viruses, Trojan horses, or the like that may be transmitted to or through our services

Our total liability to you for all claims arising out of or relating to these Terms or your use of our services shall not exceed the amount paid by you to us for services in the six months preceding the claim.

9. Indemnification

You agree to defend, indemnify, and hold harmless Jafopavehimu Consulting and our employees, contractors, agents, officers, and directors from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

• Your use of and access to our services
• Your violation of any term of these Terms
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right
• Any claim that your content caused damage to a third party

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law provisions.

Any legal action or proceeding relating to your access to or use of our services shall be instituted in the courts of the Province of Ontario. You agree to submit to the jurisdiction of the courts of the Province of Ontario and waive any objections to the exercise of jurisdiction over you by such courts.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use our services.

12. Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use our services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
